*The rate of return of 7% per annum is calculated on the basis of the actual amount invested, i.e. the net purchase price of the premises, but excluding equipment that is depreciated. Indexation every 3 years from 2029 by the arithmetic mean of the Consumer Goods and Services Price Index in Poland for all items announced by the President of the Central Statistical Office for the previous 3 years. Commercial premises in the form of condominium units in a hotel building are being sold by the special purpose vehicle Zdrojowa Invest Sp. z o.o. Projekt 5 Sp.k. Zdrojowa Invest does not currently use escrow accounts for condominium properties in accordance with the regulations. In this case, we are dealing with a completed, paid-off investment and an open hotel. In accordance with the law, the owner of the premises may sell their premises at any stage. Zdrojowa Invest has the right of first refusal at a price determined by the owner. Currently, Zdrojowa Invest 2 Sp. z o.o. serves the secondary market, thus increasing the liquidity of such premises, but the sale of any property involves risk. Entrepreneurs and business operators within the meaning of VAT may obtain a refund of this tax on the purchase, and relevant taxes may apply to the sale. The sole tenant of the condo units at the purchase stage is Zdrojowa Rent 2 Sp. z o.o. A fixed, long-term, quarterly rent may be preferentially taxed in accordance with the relevant regulations. The maintenance of the premises is associated with normal market costs and those resulting from the Act on the Ownership of Premises, but during the lease period, the owner only covers the renovation fund and required renovations, as well as property tax. The possibility of limited use of the leased premises or other locations by the Owner on preferential terms is a privilege. The binding agreement is not a guarantee of profit, which is not the case in any business.
Please be advised that the provisions of the so-called Act on the Transparency of Flat Prices (i.e. the provisions of the amendment to the Act on the Protection of the Rights of Purchasers of Residential Premises or Single-Family Houses and the Developer Guarantee Fund, which entered into force on 11 July 2025) do not apply to the investment. This is because no residential premises are being built as part of the investment.
